Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) are a legal agreement between you (“you,” “your,” or “Subscriber”) and Tovaka Brands LLC, doing business as CoachVault (“CoachVault,” “we,” “us,” or “our”), the operator of the platform available at gymnasticscoachvault.com (the “Platform”).

By creating an account, accessing the Platform, or using any of our services, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a business or organization (such as a gymnastics gym), you represent that you have the authority to bind that organization, and “you” refers to both you individually and that organization.

If you do not agree to these Terms, do not use the Platform.

2. Description of Service

CoachVault is a subscription-based digital platform that provides gymnastics gym owners and coaches with:

3. Accounts and Registration

3.1 Gym Owner Accounts. Each subscription is purchased by a gym owner or authorized administrator (“Gym Owner”). The Gym Owner is responsible for the account and all activity under it.

3.2 Coach Accounts. Gym Owners may invite coaches to access the Platform under their subscription. Coaches are subject to these Terms and the Gym Owner is responsible for their coaches' use of the Platform.

3.3 Accurate Information. You agree to provide accurate, current, and complete information when creating your account and to keep it updated.

3.4 Account Security. You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately at hello@gymnasticscoachvault.com if you suspect unauthorized access to your account.

3.5 One Account Per Gym. Each gym location requires its own subscription. If you operate multiple locations, contact us at hello@gymnasticscoachvault.com and we will set up a plan that fits.

4. Subscriptions and Billing

4.1 Subscription Plans. CoachVault offers the following paid subscription plans:

Plan features are described on our pricing page. Features may be updated from time to time; material changes will be communicated to active subscribers.

4.2 Billing Cycle. Subscriptions are billed in advance on a monthly or annual basis, depending on your selected billing cycle. Your subscription renews automatically at the end of each billing period unless cancelled before the renewal date.

4.3 Annual Plans. Annual plans are paid in full at the start of the billing period and provide access to two additional months at no cost (equivalent to paying for 10 months and receiving 12).

4.4 Payment. Payment is processed by Stripe. By subscribing, you authorize us to charge your selected payment method for all fees. You represent that your payment information is accurate and that you are authorized to use the payment method provided.

4.5 Price Changes. We may change subscription prices at any time. We will provide at least 30 days' notice of any price increase to active subscribers via email. Price changes will take effect at your next renewal unless you cancel before then.

4.6 Taxes. Prices do not include applicable taxes. You are responsible for any sales, use, or similar taxes that may apply to your subscription.

Summary: You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period, and you retain access until then. We do not offer refunds on monthly or annual subscriptions; you keep access through the period you have already paid for.

6. Acceptable Use

6.1 Permitted Use. The Platform is intended for use by gymnastics gym owners, directors, and their coaching staff for professional coach training and gym operations purposes.

7. Content and Intellectual Property

7.1 CoachVault Content. All curriculum, lesson plans, resource guides, videos, scripts, frameworks, and other content made available through the Platform (“CoachVault Content”) is owned by or licensed to Tovaka Brands LLC. CoachVault Content is protected by copyright, trademark, and other intellectual property laws.

7.2 License to Use. Subject to your payment of applicable subscription fees and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use CoachVault Content for your internal gym operations during your active subscription period.

7.3 No Reproduction. You may not reproduce, republish, display, perform, create derivative works from, or distribute CoachVault Content without our prior written permission. The lesson plans, curriculum documents, and resource guides are licensed for use within your gym, not for resale, redistribution, or publication.

7.4 Feedback. If you submit suggestions, feedback, or ideas about the Platform, you grant us the right to use that feedback without restriction or compensation to you.

7.5 Your Content. You retain ownership of any content you upload to the Platform (if applicable). By uploading content, you grant us a limited license to store and display that content to authorized users of your account.

8. Content Accuracy and Professional Disclaimer

8.1 Educational Content. CoachVault content is designed to support the professional development of gymnastics coaches. It is based on the experience and expertise of our curriculum team and is intended as educational and reference material.

8.2 Not a Substitute for Professional Judgment. Coaching involves physical activity with children. CoachVault content does not replace the professional judgment of qualified coaches, gym owners, or safety officers. You are responsible for ensuring that your coaches are appropriately qualified, supervised, and compliant with applicable regulations for working with children.

8.3 Safety. Physical safety in gymnastics depends on proper coaching technique, appropriate supervision, and sound facility management. CoachVault is not responsible for any injury, incident, or harm that occurs during gym operations, regardless of whether the involved coaches have used our training materials.

9. Third-Party Services

The Platform integrates with the following third-party services:

Use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party service providers.

10. Availability and Support

10.1 Availability. We aim to keep the Platform available at all times but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, technical issues, or circumstances beyond our control.

10.2 Support. We provide email support at hello@gymnasticscoachvault.com. We aim to respond to support requests within 2 business days.

11. Termination

11.1 By You. You may cancel your subscription at any time. Upon cancellation, your access continues until the end of your current billing period, after which your account and coaches' accounts will lose access to the Platform.

11.2 By Us. We may suspend or terminate your account immediately, without notice, if you violate these Terms, fail to pay subscription fees, or engage in conduct we determine to be harmful to other users or to the Platform. We will provide notice and a reasonable opportunity to cure where practicable.

11.3 Effect of Termination. Upon termination, your license to access CoachVault Content ends immediately. We may retain your account data in accordance with our Privacy Policy.

12. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOVAKA BRANDS LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO COACHVAULT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

14. Indemnification

You agree to indemnify, defend, and hold harmless Tovaka Brands LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any claim related to your gym's operations, coaching practices, or employee conduct.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Oregon without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive the right to participate in class action lawsuits.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of those Terms.

17. General

17.1 Entire Agreement. These Terms, along with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and CoachVault regarding the Platform.

17.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

17.3 Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

17.4 Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms to a successor or acquirer without restriction.
